Please read these Terms of Service ("Terms," "Terms of Service") carefully before using the website and services of Softcode Web Studio ("we," "us," or "our"). By accessing or using our website at https://softcode-studio.vercel.app and our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.
1. Description of Services
Softcode Web Studio provides professional web development and design services, including but not limited to:
- Website design and development
- Responsive web design for all devices
- Website speed optimization
- Search engine optimization (SEO)
- Website maintenance and support
- E-commerce website development
- Custom web application development
- Developer tools and CLI utilities
All services are subject to availability and may require advance booking.
2. Project Booking and Payment
Booking & Payment Terms
- A non-refundable deposit of 50% of the total quoted project fee is required to commence work.
- The remaining 50% balance is due upon project completion and before final delivery.
- Projects are not commenced until the deposit is received and acknowledged.
- We accept payment via bank transfer and mobile payment.
- All prices are quoted in Nigerian Naira (₦) unless otherwise specified.
3. Project Timeline and Delivery
- Project timelines are estimates based on the scope of work discussed and agreed upon.
- Delivery times may be affected by client response times, content availability, and scope changes.
- We will provide regular updates on project progress.
- Rush projects may incur additional charges.
4. Revisions Policy
Revision Terms
Starter Package: 2 rounds of revisions included
Professional Package: 2 rounds of revisions included
Business Package: 3 rounds of revisions included
Enterprise Package: 4 rounds of revisions included
Additional revisions beyond the included rounds will be charged at a rate of ₦10,000 per round. Major scope changes may require a new quote.
5. Cancellation and Refund Policy
- Before work begins: Full refund of deposit minus administrative fee (₦5,000)
- Within 3 days of commencement: 75% refund of deposit
- After 3 days but before 50% completion: 50% refund of deposit
- After 50% completion: No refund. Deposit is forfeited
- After final delivery: No refunds
6. Intellectual Property
- Upon full payment, the client receives full ownership rights to the final website design and code.
- We retain the right to showcase the completed project in our portfolio unless explicitly requested otherwise.
- All third-party assets (stock images, fonts, plugins) remain subject to their respective licenses.
- Source code and design files may be retained by us for reference and portfolio purposes.
7. Client Responsibilities
By engaging our services, you agree to:
- Provide all necessary content (text, images, logos) in a timely manner
- Respond to communications and feedback requests promptly
- Provide accurate and complete information about your requirements
- Ensure you have rights to all content you provide
- Make payments according to the agreed schedule
8. Maintenance and Support
- All projects include 30 days of free support after launch for bug fixes.
- Ongoing maintenance packages are available at additional cost.
- Support does not cover changes to design or functionality beyond the original scope.
- Response time for support requests is within 24-48 hours.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Softcode Web Studio shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
- Damages arising from third-party services or hosting issues
- Damages exceeding the total amount paid for the specific service in question
- Issues caused by client-provided content or third-party integrations
10. Governing Law and Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
- Any disputes shall first be attempted to be resolved through good-faith negotiation.
- If negotiation fails, disputes shall be resolved through mediation in Lagos State, Nigeria.
- If mediation fails, disputes shall be submitted to the courts of Lagos State, Nigeria.
11. Changes to These Terms
We reserve the right to modify or replace these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our website and services after any changes constitutes acceptance of the new Terms.
